Terms of Service. I. General Provisions and Acceptance of Terms
​Definition of Parties: Clearly identifying the "Service" (your company/platform) and the "User" (the client registering an account).
​Agreement to Terms: Indication that registration or use of the Service constitutes the User's full and unconditional acceptance of these Terms, as well as the Privacy Policy.
​Changes to Terms: The Service reserves the right to change the Terms by notifying the User (e.g., by email or via an in-platform notification).
​II. Description of the Service and Automation
​Subject of the Agreement: Providing the User with access to an automated online platform for managing, optimizing, and scaling advertising campaigns in the Google Ads system (and/or other designated systems).
Operating Principle: The Service is an automation tool and does not guarantee a specific financial result (ROI, CPA, etc.), as advertising effectiveness depends on many external factors (the quality of the User's product, the market, competition, budget, etc.).
​Access: The User grants the Service the necessary access rights to their Google Ads advertising accounts (via API or other means) solely for the purposes of setting up and automating advertising.
​III. Financial Terms and Payment
​Prices and Payments: A clear description of the payment structure (subscription, commission based on the advertising budget, pay-per-click/conversion, etc.).
​Advertising Budget: The Service does not own or manage the advertising budget. The User is solely responsible for replenishing and managing the budget directly in the Google Ads system. Refund Policy: The conditions under which refunds for a paid Service subscription are available (e.g., only for unused periods or in the event of legitimate technical issues).
​IV. User Obligations and Responsibilities
​Compliance with Advertising System Rules: The User guarantees that their advertising materials, products, and services comply with Google Ads policies (regarding prohibited content, trademarks, etc.) and the laws of all countries targeted by the advertising.
​Content: The User is solely responsible for the legality, accuracy, and ethics of all materials advertised through the Service.
​Use of the Platform: The User undertakes not to use the Service for fraudulent or malicious activities (e.g., click fraud, malware distribution).
​V. Service Liability Limitation
​Technical Failures: The Service is not responsible for interruptions in the operation of advertising platforms (e.g., Google Ads), technical API failures, or internet problems.
​Moderation and Blocking: The Service is not responsible for the rejection of ads or the blocking of the User's advertising accounts by Google Ads caused by the User's violation of the advertising system rules.
​Warranties: The Service is provided "as is," without any express or implied warranties regarding the accuracy of its algorithms, the continuity of its operation, or the achievement of specific business results.
​VI. Dispute Resolution and Applicable Law
​Claims Procedure: Mandatory pre-trial dispute resolution procedure (the User must submit a claim within a specified time limit).
​Applicable Law: Indication of the country's law that governs these Terms. (For an international platform, this may often be the law of the company's country of incorporation or a law that is friendly to IT businesses.)
​Jurisdiction: Indication of the court jurisdiction in which unresolved disputes will be heard.
